Terms of Service

This document is a legal agreement between you ("Customer", "You") and GIANGDC COMPANY LIMITED (Business Registration Number: 0108555825), with its registered office at Floor 2, No. 671 Truong Dinh Street, Thinh Liet Ward, Hoang Mai District, Hanoi, Vietnam ("ERP-X", "We") regarding the use of the ERP-X platform and related services, including Facebook / Instagram / Messenger integration features.

1. Acceptance of Terms

By accessing or using ERP-X, you confirm that you have read, understood, and agree to comply with these terms together with our Privacy Policy. If you do not agree, please discontinue use of the service.

2. Service Description

ERP-X is a business management platform including the following modules:

• ERP: accounting, inventory, purchasing/sales, production.
• HCM: human resources, timekeeping, payroll.
• WMS: warehouse and supply chain management.
• LMS: internal training.
• Omnichannel Inbox: integrates Facebook Pages, Instagram Business Accounts, and Messenger for centralized customer messaging.

3. Account & Security

• You must provide accurate information when registering and update it promptly when it changes.
• You are responsible for keeping your password, login tokens secure, and all activity under your account.
• Notify ERP-X immediately at support@erp-x.com if you detect unauthorized access.
• One account is for one business/organization; sharing or reselling accounts is strictly prohibited.

4. Facebook / Instagram / Messenger Integration

When using the Facebook Page or Instagram Business Account connection feature, you agree:

• You are the legitimate owner or admin of the connected Page/Account, with full authority to authorize ERP-X to process message data.
• You will comply with the Meta Platform Terms, Community Standards and Developer Policies of Meta.
• You will not use ERP-X to send spam, scams, malware, illegal content or copyright-infringing content via Facebook / Instagram / Messenger.
• You will comply with the Messenger Platform 24-hour window: promotional messages may only be sent within 24 hours of the customer's last interaction.
• You will not collect, store, or sell Facebook user data to third parties.
• You will respect end-user privacy: message data will only be used for customer care and service purposes.

ERP-X reserves the right to immediately suspend or terminate your Facebook/Instagram connection if violations are detected, and may report violations to Meta as required by the Meta Platform Terms.

5. Acceptable Use & Prohibitions

You MAY NOT:

• Copy, modify, reverse-engineer, or exploit the ERP-X source code.
• Attack or disrupt the ERP-X system via DDoS, automated scraping, or brute-force.
• Use ERP-X for illegal activities, multi-level marketing scams, fraud, or money laundering.
• Abuse the API/webhook to send requests exceeding published quotas.
• Infringe on the intellectual property rights of any party in content you upload.

6. Payment & Cancellation

• Free trial: free for the period announced on the pricing page.
• Paid plans: monthly/yearly billing cycles with full VAT invoices.
• You may cancel the service at any time; paid fees are non-refundable unless required by Vietnamese law.
• If ERP-X terminates service due to your breach of terms, fees are not refunded.

7. Intellectual Property

All source code, design, logos, the "ERP-X" brand name, and documentation belong to GIANGDC COMPANY LIMITED. You are granted only a limited, non-exclusive, non-transferable license to use during the service period. Business data you enter into ERP-X (customers, orders, messages) remains your property.

8. Warranty Disclaimer & Limitation of Liability

The service is provided on an "AS-IS" basis. To the extent permitted by law, ERP-X disclaims all implied warranties of fitness for a particular purpose, uninterrupted operation, or error-free performance.

ERP-X is not liable for indirect damages, lost profits, or data loss resulting from third-party disruptions (Meta, cloud providers, ISPs) beyond reasonable control. ERP-X's maximum liability in all cases shall not exceed the service fees you paid in the 3 months immediately preceding the dispute.

9. Termination

ERP-X may suspend or terminate your account if: (a) you violate these terms, (b) your actions create legal or security risks for ERP-X and other customers, (c) Meta requires termination due to Platform Terms violations, (d) you fail to pay service fees after reminders. Upon termination, you have 30 days to export your data before the system deletes it according to the Data Deletion Instructions.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of Vietnam. Any dispute shall first be resolved through good-faith negotiation. If no agreement is reached within 30 days, the dispute shall be submitted to the People's Court of competent jurisdiction in Hanoi.

11. Changes to Terms

ERP-X may update these terms from time to time. The latest update date is always shown at the top of this page. Material changes will be notified via email or in-product notification at least 7 days before they take effect. Continued use after the effective date constitutes acceptance of the new terms.
